Packard heirs put Fiorina’s dream merger in doubt

The David and Lucile Packard Foundation is opposing the proposed $25.59 billion merger of Hewlett-Packard and Compaq and has pledged to vote to kill the deal with its 10% stake.

The Packard foundation joins HP director William Hewlett, who came out against the deal last month. Together, the two groups’ approximate 18% stake in the company is not enough to block a deal but likely will result in a proxy fight. Winning that fight would require approximately 60% approval by institutional shareholders.

After a summer of salesmanship since the proposed merger was announced in May, HP CEO Carly Fiorina met with the foundation last week, but was unable to sway it. The next shareholder vote is not expected until late February.
