MetaSolv Inc. has been incorporated in Delaware and on Jan 1, 2001, MetaSolv Software will become a wholly owned subsidiary.
MetaSolv Inc. also will become the publicly held and traded company on the Nasdaq market under the ticker symbol MSLV.
“One of MetaSolv’s goals is to take our product internationally. This allows us greater flexibility to open offices, employ people from other countries and to do business as a global company rather than just a U.S. company doing business in another country,” said a MetaSolv spokeswoman.
MetaSolv currently has a sales office in the U.K. and is sending an expatriate team to London at the beginning of the year. “We are also looking at opening an office in mainland Europe, but that hasn’t been decided yet,” the spokeswoman said.
Stockholders of MetaSolv Software automatically become stockholders of the parent company in the tax-free transaction. Stockholders also have the option to exchange existing certificates of MetaSolv Software’s common stock, which continue to serve as evidence of ownership of the same number of shares of MetaSolv Inc. common stock.
